Zabka Group announces voting results of its Annual General Meeting and Extraordinary General Meeting of shareholders
Luxembourg 17 June 2025 (17:00 CET) - The annual general meeting of the shareholders (the
“Annual General Meeting”) of Zabka Group (the “Company”) held today approved all resolutions
on the agenda by a large majority.
The Annual General Meeting, among others, approved:
- the statutory annual accounts of the Company and the group consolidated financial statements
for the financial year ended on 31 December 2024; the renewal of the mandate of all current members of the Board of Directors until the annual
general meeting of the shareholders of the Company approving the annual accounts for the
financial year ending on 31 December 2025; and the appointment of Ms. Anna Maria Pawlak-Kuliga as new independent director of the Company with immediate effect and until the annual general meeting of the shareholders of the Company approving the annual accounts for the financial year ending on 31 December 2025. In addition, at the extraordinary general meeting of the shareholders (the “Extraordinary General Meeting”) of the Company held immediately after the Annual General Meeting, both proposed resolutions which related respectively to (i) the amendment and replacement of paragraph 1 of article 11 (Board Meetings) of the articles of association of the Company and (ii) the amendment and replacement of the definition of “Material Subsidiaries” included in article 21 (Definitions) of the articles of association of the Company, were approved.
The minutes of both the Annual General Meeting and the Extraordinary General Meeting, which detail the resolutions passed and the result of the votes cast in relation to each resolution and the changes to the Company’s articles of association will be published in due course on the Company’s website.
